Samsung Galaxy Note 3 - is it worth buying

How does note 3 compare with note 2? I currently have note 2 N7100.

Here are the changes that I found significant (unless i missed out something here).
1. Better Hardware (processor, ram & GPU)
2. Better Display.
3. Superior Camera?

Are there issues that one should be aware of before exploring for note 3?
Would you guys recommend the note 3 over note 2?

The price of Note 3 in my country comes around 800$. I have an standing exchange offer, Note 3 @ 65$ with exchange of Note 2.

This caught my attention instantly and looked like a hands down steal. I quadruple checked the offer with the store manager. I even asked him if he was sure about it. Offer Will be available for just a couple of days.

I am not sure if I should go for it, since i am not much aware of the tech stuff.
