I've got a MSI 16F2:
i5 2.5GHz (dual core, 2nd gen)
16GB DDR3 1333MHz
GTX 560m 1.5GB (no optimus)

and I'm off to college this fall, been looking at selling it and buying a newer one
Probably a Sager NP7370 (Clevo W370ST)
i7 2.4Ghz (quad core, 4th gen)
8GB (or maybe 12GB) DDR3 1600MHz
GTX 765m 2GB (w/ optimus)

I offered to sell it to a friend for $700, is this a fair price? Could I get much more for it online somewhere?

after tax, it'd be costing me ~$400 to upgrade. What kind of performance improvements would I see from those upgrades? My current laptop is just starting to struggle with running games acceptably, and compiling C++ is a bit slow. Would it be better or worse to wait a year or two?

No, it's not a good price at all.

For $800 your friend can buy a brand new Lenovo Y500 with a quad core i7-3630QM and an nVidia GTX 750m graphics card. It only has 8GB of RAM, but for games that is more than enough. Another $40 gets a 1920x1080 resolution screen which is more suitable for non gaming use since going from 1366x768 to 1920x1080 is a pretty big hit on performance.

Alright, I'll tell him that and drop the price some I guess.
On my end,

Can anyone tell me what sort of performance I'd get on a 4th gen i7 core vs a second gen i5 core, or how much better the 765m would perform than the 560m?

At the same clock speed the average performance increase will be a little over 11% going from 2nd gen to 4th gen.

With regards to the GTX 765m vs. the GTX 560m, click the following link to look at performance differences. The GTX 560m is ranked the same as the GTX 650m in overall performance so you can look at the performance difference between those two chips.

For example, in Metro Last Light under "High" settings, the GTX 650m is slower by 41%. Another way to look at it is that the GTX 765m is 69.5% faster than the GTX 650m; that's 100% / (100% - 41%). "High" settings for Far Cry 3 shows that the GTX 650m is 38% slower than the GTX 765m. Or the GTX 765m is 61.3% faster than te GTX 650m; that's 100% / (100% - 38%).
