Sony Vaio Shuts down After a message!!!

I'm using a Sony Vaio VPCEE3E0E. It was good for last 1 year. I had a battery problem. I solved it by replacing new battery. It was great for last 1month. I'm using Win7 Ultimate.

But now i'm facing a shutdown problem without any notice. Sometimes it fails turning on.

Here's the details...
If i turn it on, sometimes it doesn't turn on. But when it turns on, it gets automatic shutdown in a couple of minutes by showing a memory/software error message. It turns off that much early that i cant even read what it said.

What I tried:
Uninstalling ATI driver
It actually works but "doesn't turning on" prob stays, when I reinstall it both probs come back.

Also tried Memory Test, Vaio Care, ShutDown Prevent Software by google, bt they dint work.

HELP ME. IT's REALLY KILLING ME!!!
 
It could be a hardware issues that we can explore next, but just in case you have the shutdowner trojan, download and run the free Kaspersky Rescue Disk 10 from a CD that you burn from the ISO file HERE and run a full scan.
 
I'm using Microsoft Security Essential, and its updated nd moreover i scan my pc regularly. Does ATI Catalyst Suit have any kinda clash with microsoft security essential? Coz whn I turn Essential off, it turns off lil bit later thn it should...
 
No, I've used Catalyst with MS Security Essentials, which incidentally did not stop multiple Trojans including shutdowner.
