xp doesn't support exFAT by default and that could the problem, http://www.microsoft.com/en-us/download/details.aspx?id=19364 try applying this update

@Wildcat - is that system fully updated with latest patches? I have a XP system similar to yours, and I have no problem accessing even 64gb flash keys.
